Authorization & Consent
DISPOSAL AUTHORIZATION AGREEMENT
By submitting this request, I, the undersigned authorized representative of the customer of record, hereby irrevocably authorize and direct ShiplyCo Fulfillment Company, LLC, a Texas limited liability company located in Houston, Texas ("ShiplyCo"), to dispose of, destroy, donate, discard, or otherwise liquidate or sell the inventory items identified above ("Items"), at ShiplyCo's sole discretion and without further notice to the customer.
The customer acknowledges and agrees that: (1) ShiplyCo shall have no obligation to recover or return the Items once this authorization is submitted; (2) the customer waives all right, title, and interest in and to the Items upon submission of this request and expressly waives any and all claims arising from or related to the disposal of such Items; (3) ShiplyCo shall not be liable to the customer for the value of the Items or any loss resulting from their disposal; (4) the applicable disposal fees set forth above shall be automatically added to the customer's next invoice and are due and payable pursuant to the customer's service agreement with ShiplyCo; and (5) this authorization is legally binding under the laws of the State of Texas.
This agreement is governed by the laws of the State of Texas. Any disputes arising hereunder shall be resolved exclusively in the courts of Harris County, Texas.
